These Terms of Use (“Terms”) govern your access to and use of www.mariwall.com, including all associated webpages, content, features, functionality, communications, downloads, and other online services made available by Mariwall International Private Limited (“Mariwall,” “Company,” “we,” “us,” or “our”).
By accessing, browsing, or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site.
If you access or use the Site on behalf of a company, organization, institution, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and in that event “you” and “your” refer to both you and that entity.

Mariwall is registered in India. The Site is intended for international access and use, subject always to applicable law. You are solely responsible for ensuring that your access to and use of the Site is lawful in the jurisdiction from which you access it.

These Terms apply to the Site generally and to all visitors, users, and other persons who access or use the Site.
Certain parts of the Site, services, features, downloads, forms, campaigns, or interactions may be subject to additional terms, policies, notices, or disclaimers. Any such additional terms are incorporated into these Terms by reference. In the event of a conflict, the additional terms will control with respect to the relevant part of the Site or service.

4. Permitted Use
Subject to your compliance with these Terms, Mariwall grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site solely for lawful informational and legitimate business purposes.
Except as expressly permitted in these Terms, no right, title, license, or interest in or to the Site or any content is granted to you.
5. Prohibited Conduct
You must not, and must not permit, encourage, or assist any third party to:

j. remove, alter, obscure, or tamper with any copyright, trademark, proprietary notice, disclaimer, or security feature;
k. reverse engineer, decompile, disassemble, translate, adapt, or create derivative works from the Site or any part of it, except to the limited extent such restriction is prohibited by non-waivable law;
l. use the Site in a manner that could damage Mariwall’s reputation, operations, systems, rights, or commercial interests; or
m. otherwise misuse the Site or any content made available through it.
6. User Communications and Submissions
Any information, inquiry, feedback, suggestion, application material, business communication, data, document, or other material submitted by you through or in connection with the Site (“Submission”) must be lawful, accurate, and submitted by a person with the necessary authority and rights to do so.
By making a Submission, you represent and warrant that:
a. you have all necessary rights, permissions, consents, and authority to provide it;
b. the Submission does not infringe, misappropriate, or violate any law or third-party right;
c. the Submission is not false, misleading, malicious, or unlawful; and
d. the Submission does not contain any harmful code or hidden functionality.
Unless expressly agreed otherwise in writing, Mariwall may use, review, store, process, and respond to any Submission in connection with its business operations and administration of the Site, subject to applicable law and any applicable privacy notice.
You must not submit confidential, proprietary, export-controlled, sensitive personal, or otherwise restricted information through the Site unless specifically requested by Mariwall through an appropriate channel.
You remain solely responsible for your Submissions.
7. Intellectual Property
The Site and all content and materials made available on or through it, including all text, graphics, logos, icons, photographs, images, video, audio, documents, downloads, data, software, code, design, layout, look and feel, functionality, databases, and compilations, together with all intellectual property rights therein, are owned by Mariwall, its affiliates, licensors, or applicable rights holders and are protected by applicable intellectual property and other laws.
Except for the limited right to access and use the Site in accordance with these Terms, nothing in these Terms transfers or grants any right, title, or interest in or to the Site or any content.
No license is granted by implication, estoppel, or otherwise.
8. Limited Use of Materials
You may view, download, and print a reasonable number of copies of publicly available materials from the Site solely for your lawful internal, personal, or non-commercial informational use, provided that you:
a. do not modify the materials;
b. retain all copyright, trademark, and proprietary notices;

Nothing in these Terms grants you any right to use any trademark, logo, trade name, domain name, or brand element of Mariwall without prior written consent.

Mariwall does not control and is not responsible for any third-party site, service, content, availability, security, policy, or practice. The inclusion of any link does not imply endorsement, approval, affiliation, sponsorship, or association unless expressly stated by Mariwall.
Your use of any third-party site or service is entirely at your own risk and subject to that third party’s own terms and policies.

MARIWALL MAKES NO REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, OR FREEDOM FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, MARIWALL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, OR SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT ANY DEFECTS WILL BE CORRECTED.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARIWALL, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, PERSONNEL, CONSULTANTS, CONTRACTORS, REPRESENTATIVES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, LIABILITY, CLAIM, COST, OR EXPENSE OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH:
a. YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE;
b. ANY RELIANCE PLACED ON THE SITE OR ITS CONTENT;

THIS EXCLUSION OF LIABILITY APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, AND CONSEQUENTIAL DAMAGES, AS WELL AS LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, CONTRACT, DATA, GOODWILL, REPUTATION, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN LIABILITIES, MARIWALL’S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
15. Indemnity
You agree, to the fullest extent permitted by applicable law, to defend, indemnify, and hold harmless Mariwall, its affiliates, and their respective directors, officers, employees, consultants, contractors, representatives, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees and expenses, arising out of or related to:
a. your breach of these Terms;
b. your misuse of the Site;
c. your violation of any applicable law or third-party right; or
d. any Submission made by you.
16. Compliance With Laws
You are responsible for complying with all laws, rules, and regulations applicable to your access to and use of the Site. This includes, where applicable, laws relating to anti-corruption, sanctions, export controls, privacy, cybersecurity, intellectual property, and electronic communications.
17. International Access
The Site may be accessed from multiple jurisdictions. Mariwall makes no representation that the Site, or any content, feature, or functionality on it, is appropriate, available, or lawful in every jurisdiction.
Mariwall may, at any time and in its sole discretion, limit or restrict availability of the Site or any part of it to any person, entity, territory, or jurisdiction.
18. Suspension and Termination
Mariwall reserves the right, at any time, with or without notice, to suspend, restrict, block, or terminate your access to the Site, in whole or in part, for any reason or no stated reason, including where Mariwall reasonably believes that you have violated these Terms, created legal exposure, threatened the security or integrity of the Site, or acted inconsistently with Mariwall’s rights or interests.
Mariwall also reserves the right to investigate suspected violations and to take any action it considers appropriate.
19. No Waiver
No failure, delay, or partial exercise by Mariwall of any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
21. Entire Agreement
These Terms, together with any additional terms, notices, disclaimers, and policies expressly incorporated by reference, constitute the entire agreement between you and Mariwall in relation to the Site and supersede all prior or contemporaneous communications, understandings, and arrangements relating to that subject matter.
22. Governing Law and Exclusive Jurisdiction
These Terms, the Site, and any dispute, claim, controversy, or non-contractual obligation arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
You irrevocably agree that the courts in India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Terms or the Site, and you waive any objection based on venue, forum non conveniens, or similar grounds.
